Terms of Service

1. Agreement

These Terms of Service ("Terms") govern your use of websites, mobile applications, free online tools, and technology services provided by Upliftorch Co., Ltd. ("Upliftorch," "we," "us," or "our"). By using a service, you confirm that you have read and agree to these Terms. If you do not agree, do not use the service.

2. Our Services

You must have the legal capacity required to use a service. Children under seven must be represented by a legal guardian, and other minors must obtain their legal guardian's consent where required by Taiwan law.

4. Accounts and Acceptable Use

You are responsible for safeguarding your account credentials and for activity conducted through your account. You must not:

• Violate applicable law or the rights of another person.
• Upload malware or content intended to damage, disrupt, or compromise a service.
• Attempt unauthorized access to systems, accounts, or data.
• Use automated extraction in a manner that overloads, disrupts, or circumvents service controls.
• Misrepresent your identity or use a service for fraud, abuse, or another unlawful purpose.

5. Intellectual Property and User Content

Our software, design, text, graphics, trademarks, and other service content are owned by Upliftorch or their respective rights holders and are protected by applicable intellectual-property laws.

You retain ownership of content that you submit. You grant us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify, transmit, and display that content only as reasonably necessary to provide, secure, promote, or improve the service, subject to our Privacy Policy and applicable law.

6. Third-Party Services and Advertising

A service may contain third-party content, links, infrastructure, analytics, or advertising. We do not control third-party services and are not responsible for their availability, accuracy, or privacy practices.

We may display advertising through Google AdSense or another provider. Advertising partners may use Cookies or similar technologies as described in our Privacy Policy. Advertisements do not constitute our endorsement of an advertiser or its products.

7. Health Information Disclaimer

Health, nutrition, calorie, activity, and wellness features are provided for general informational and self-management purposes. They are not medical advice, diagnosis, or treatment and do not replace a qualified healthcare professional.

Calculated values are estimates and may not be accurate or appropriate for you. Consult a healthcare professional before acting on health information, especially if you have a medical condition or are receiving treatment.

8. Availability, Disclaimers, and Liability

To the extent permitted by law, services are provided on an "as is" and "as available" basis without warranties of uninterrupted operation, accuracy, fitness for a particular purpose, or freedom from errors.

You are responsible for maintaining backups of important data. We are not responsible for interruptions or loss caused by maintenance, network or power failures, force majeure, third-party conduct, or your violation of these Terms.

To the maximum extent permitted by law, Upliftorch is not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability for direct damages arising from a service will not exceed the greater of the amount you paid for that service or NT$10,000, except where a limitation is prohibited by law.

9. Indemnification

To the extent permitted by law, you agree to indemnify Upliftorch against losses, claims, and reasonable costs resulting from your unlawful use of a service, infringement of another person's rights, or material breach of these Terms.

10. Suspension and Termination

You may stop using a service at any time. We may suspend or terminate access where you materially violate these Terms, create a security or legal risk, or where a service is discontinued. Rights and obligations that by their nature should survive termination will remain in effect.

11. Governing Law and Disputes

These Terms are governed by the laws of the Republic of China (Taiwan). The parties will first attempt to resolve a dispute in good faith. If no resolution is reached, the Taiwan Taichung District Court will be the court of first instance, unless applicable law requires otherwise.

12. Changes and General Terms

We may update these Terms and will publish the revised Terms and their actual revision date on this page. Continued use after an update constitutes acceptance to the extent permitted by law.

If a provision is unenforceable, the remaining provisions remain effective. These Terms and any service-specific terms constitute the agreement governing your use of the relevant service.
